ACS Membership Referral Program Terms and Conditions

Effective Date: September 1, 2024

The American Chemical Society (“ACS”) offers ACS members (“you” or “Referrer”) the opportunity to participate in the ACS Membership Referral Program (the “Program”). These Program Terms and Conditions (“Referral Terms”) apply to your participation in the Program. By participating in the Program, you agree to accept these Referral Terms as outlined herein, and you acknowledge that you have read, understand, and consent to the Privacy Policy and Terms of Use, which are incorporated into and made a part of this agreement. If you do not agree to these Referral Terms in their entirety, then do not participate in the Program. ACS reserves the right to modify, amend, or terminate the Program at any time and in any manner, in whole or in part, for any reason in its sole discretion and without notice of any type to you. The Program is void where prohibited by any applicable laws and regulations. These Referral Terms are effective as of the date listed above.

THESE  REFERRAL TERMS AND CONDITIONS REQUIRE YOU TO RESOLVE DISPUTES ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED OR REPRESENTATIVE ACTION. NO CLASS OR REPRESENTATIVE ACTIONS ARE ALLOWED.

Referral Program Overview

The American Chemical Society (“ACS” or “we” or “us”) offers the ACS Membership Referral Program to ACS members who are interested in referring potential new members to ACS. ACS members who refer are called “Referrers” and individuals who receive a referral are called “Referred Persons.” These Referral Terms govern the participation by Referrers and the Referred Persons by the Referrers. Referred Persons are typically friends and family of the Referrers. 

Referrer Eligibility

Referrers must:

• Be an existing and active member of ACS;
• Be in good standing with ACS; and
• Be at least 18 years old.

Referred Persons Eligibility

To receive a Referral Reward, the Referred Person must meet the following criteria:

• Be a natural person (i.e., no businesses, legal entities);
• Be a new/first-time member with ACS;
• Complete their membership application using your custom Referral Link or other methods supply by ACS that allow for proper tracking of referrals;
• Meet ACS’s membership eligibility requirements; and
• Consent and comply with any applicable policies and terms. 

Program Enrollment

For Referrers

To participate in the Program as a Referrer, you must refer a Referred Person that meets the required eligibility criteria.

• While signed in to your ACS account, visit the “Membership Referrals) section of the ACS website.
• Follow the instructions to receive a unique ACS membership referral link that is specific to you and only you (your “Referral Link”).
• Share your Referral Link with your family, friends, and anyone else that would benefit from an ACS membership. To receive maximum benefits of your referrals, please review the below section on Sharing Referral Links Transparently and Fairly.
• For each eligible Referred Person that (1) utilizes your Referral Link, (2) registers for an ACS account, and (3) completes an application for ACS membership, you will receive a Referral Reward (see About Referral Rewards section below for details).
•  You will know if you received a Referral Reward when it appears in the “Referral Program” section of your ACS member account on the ACS website.

Representations

By participating in the Program, (i) as a Referrer, you represent and warrant that you have a personal relationship with your Referred Persons; and (ii) as a Referrer or Referred Persons, you will comply with all applicable ACS policies and terms, and any and all applicable laws, rules, or regulations governing your participation in the Program.

About Referral Rewards

Reward Structure

• Referrers and Referred Persons may receive rewards or incentives as specified by ACS, which could include discounts on membership renewals, special recognition, or other benefits (collectively, “Referral Rewards”).
• The specific Referral Rewards and their conditions will be detailed on ACS’s website and may be updated from time to time. 

Referral Rewards Conditions

• Referral Rewards are only applicable when the Referred Person’s membership application, completed via the Referral Link, is accepted and processed by ACS.
• Referral Rewards cannot be combined with any other discount codes.
• Referees may only earn one Referral Reward per referred person. In the event a Referee returns a purchased item relating to the Program, the associated Referral Reward awarded to the Referrer will be rescinded. Any abuse of this offer, as determined by ACS in its sole discretion, may result in the rescission of the Referral Rewards and the inability to participate in this or future promotions.
• Referral Rewards cannot be applied to previous purchases, are not redeemable for cash or other substitutions, and are not transferable.
• The amount of Referral Rewards that you may receive and the time period in which you may earn Referral Rewards are subject to limitation.

Sharing Referral Links Transparently and Fairly

In sharing your Referral Link, you must at all times remain compliant with CAN-SPAM, TCPA, and any other applicable laws and regulations. Additional rules for sharing your Referral Link fairly and transparently are as follows:

• Do not publish or distribute Referral Link on websites or other locations where this activity is prohibited.
• Do not “spam” anyone with the Referral Link. This includes mass emailing, texting, or messaging people you do not know or using automated systems, scripts or bots through any channel to distribute your Referral Code. You cannot pay anyone to advertise your Referral Link. You may not post the Referral Link on pages owned by others without express permission from those owners. 
• Do not misrepresent ACS, any other third party, or your experience or relationship with either when sharing a Referral Link. This includes implying that an affiliation or partnership exists between you and such parties where it does not.

Program Limitations and Restrictions

The Program is void where prohibited by law.

Referred Persons can only use Referral Link once, and you can only receive one Referral Reward per Referred Person.

Referrers may not refer themselves, establish false, duplicative or “dummy” accounts (such as through using or generating additional email addresses or phone numbers), or register accounts on behalf of other people to earn Referral Rewards.

Every Referred Person is subject to independent verification by ACS and ACS’s representatives. ACS has sole discretion in setting the amount of Referral Promos and Referral Awards, and the amount can change at any time. You agree to provide us with information reasonably necessary to verify compliance with these Referral Terms. All decisions regarding Referral Promos, Referred Persons, or your participation in the Program will be final and at ACS’s sole discretion.

Your participation in the Program is subject to your compliance with the Referral Terms, the ACS Terms of Use, any additional policies or requirements posted by ACS during or after the Program, and all applicable laws and regulations.

Privacy and Data Protection

• Personal information collected through the Program will be used in accordance with the ACS Privacy Policy.
• Referrers and Referred Persons consent to the collection, use, and processing of their personal information as described in the ACS Privacy Policy.

Reservation of Rights

ACS reserves the right to withhold, deny, cancel any Referral Rewards and/or terminate your account if ACS determines or believes, in its sole discretion, that a Referral Reward was in error, or if a Referrer or Referred Person takes any action that is deemed unethical, fraudulent, illegal, abusive or in violation or against the spirit of these Referral Terms, any ACS policy, or any other applicable agreement, law or regulation. ACS’s decisions are final.

ACS may modify, suspend, or terminate the Program or your ability to participate in it at any time and for any reason.

Updates to these Referral Terms

At ACS’s sole discretion, ACS has the right to modify, add or delete all or any portion of these Referral Terms, benefits, Referral Rewards, at any time, with or without notice. If we amend these Referral Terms, we will post the updated version on this page and/or otherwise notify you as required by law. Continued participation in the Program after any modification will constitute consent to such modification.

If the Program is terminated or the Referrer’s account is closed, any remaining earned Referral Rewards will be forfeited. ACS reserves the right to change, modify, or terminate the Program, or any or all benefits under the Program or any terms pertaining to the Program, at any time, for any reason, including ACS’s right to discontinue or change how Referral Rewards are received, calculated or redeemed.

Liability and Indemnification

• ACS is not liable for any damages, losses, or injuries resulting from participation in the Program or from the use of any Referral Rewards.
• Referrers and Referred Persons agree to indemnify and hold harmless ACS, its subsidiaries and affiliates, and their respective officers, directors, employees, customers, members, and/or agents, from any claims arising out of their participation in the Program.

Miscellaneous

These Referral Terms, in conjunction with the ACS Terms of Use, constitute the entire agreement and understanding between you and ACS with respect to the Program and supersedes all other communications, whether oral or written, between the parties with respect to such subject matter.

These Referral Terms shall be governed by and construed in accordance with laws of the District of Columbia, United States of America, without regard to its conflict of law principles.

You may not assign these Referral Terms without ACS’s prior written consent.

Subject to the foregoing restriction, these Referral Terms will be binding on, inure to, and be enforceable against the parties and their respective successors and assigns.

ACS’s failure to enforce the strict performance of any provision of these Referral Terms will not constitute a waiver of ACS’s right to enforce such provision or any other provision of these Referral Terms.
